Terms & Conditions and Telemedicine Consent

This is a legal agreement that governs your use of DigiMD. By using DigiMD, you (the patient or user) unconditionally agree to these Terms & Conditions (this “Agreement”). If you do not agree, you are not authorized to use, and should not use, DigiMD.

This Agreement is between you and [REGISTERED BUSINESS NAME] (“DigiMD”, “we”, “us”), which operates DigiMD, a platform that connects you with independent, PRC-licensed Filipino healthcare professionals who provide telemedicine services over the Internet by video or chat. The DigiMD Privacy Statement forms an integral part of this Agreement.

DigiMD is not a medical provider and does not practice medicine. All health care and medical services are performed solely by your healthcare professional, who is solely responsible for the care they provide and for compliance with all requirements applicable to their profession. DigiMD does not recommend or endorse any specific test, product, procedure, or professional opinion.

Telemedicine and its limitations

By booking a consult you acknowledge and consent that:

  • An online consult has inherent limitations compared with an in-person visit, including the inability to perform a physical examination and the lack of access to certain diagnostic tools.
  • Your personal details and medical history will be collected and discussed with your healthcare professional through interactive video, audio, and chat, and shared with them and with authorized DigiMD personnel so they can provide their professional opinion.
  • The doctor may determine that your concern requires an in-person visit, tests, or a referral, and may, in their professional judgment, decline to provide care or to issue a prescription online.
  • Consults may be conducted by video or chat, and the doctor’s notes will be recorded as part of your medical record. DigiMD does not record video or audio of consults.
  • No specific result or outcome can be guaranteed.

Not for emergencies

DigiMD is not for medical emergencies or urgent situations. If you have an emergency, go to the nearest hospital or call your local emergency number immediately. The service is not a substitute or replacement for a traditional in-person consultation, diagnosis, or treatment.

1. Age and capacity

You represent that you are at least eighteen (18) years of age and have the capacity to enter into this Agreement. If you are booking on behalf of a minor or another member of your family or household, you represent that you are authorized to act for and bind that person, that you have informed them of this Agreement and the Privacy Statement, and that they have consented to it. We may require written proof of such consent.

2. Location

Access to and use of DigiMD is intended for natural persons located in the Philippines. If you use the service from outside the Philippines, you warrant that doing so complies with the laws of the country where you are located, and that DigiMD shall not be made a party to, or liable in, any resulting dispute.

3. Registration, personal information, and medical history

You must register to use DigiMD and provide accurate personal details and medical history. It is your responsibility to keep this information current, complete, and accurate, as it forms part of your records for use by your healthcare professional. By using DigiMD, you consent to sharing your personal details and medical history with your healthcare professional and authorized DigiMD personnel, and to our processing of anonymized data for research and service improvement, as described in the Privacy Statement.

4. Fees, commission, and refunds

Consultation fees are set by each healthcare professional and paid through DigiMD via our payment provider, PayMongo. DigiMD retains a 10% platform commission and remits the balance (the doctor’s net) to the doctor on a 15-day payout cycle (the 1st and 16th of each month). Refunds for eligible cancellations are processed to your original payment method in accordance with our cancellation policy [DEFINE / CONFIRM WITH COUNSEL].

5. Proper and non-commercial use

DigiMD is for your personal, non-commercial, and lawful use only. You agree that you will not: use the service as a substitute for professional medical advice obtained directly from your doctor; impersonate another person or use a false name; allow another person to use your account or share your credentials (except to act for a family member as allowed above); harvest other users’ data; transmit unlawful, abusive, false, or malicious content or code; or attempt to gain unauthorized access to, tamper with, reverse engineer, or otherwise compromise the security or integrity of the service. We may remove content or suspend access where we reasonably determine misuse has occurred or applicable law has been violated.

6. Your undertakings and warranties

  • You will provide accurate, truthful, complete, and up-to-date information, and you accept responsibility for its accuracy and reliability.
  • The information you provide will not infringe any copyright, trademark, privacy, or other right of any party.
  • You have read, understood, and agree to the DigiMD Privacy Statement, which is incorporated into this Agreement.
  • You understand the limitations of the service and will use it accordingly.
  • You will not record any consult without the express consent of all participants.
  • You will keep your account credentials secure and maintain reasonable cybersecurity tools (such as up-to-date anti-virus software) on your own device.
  • You have paid for the service using your own funds or funds you are authorized to use.

7. Third-party services

DigiMD relies on third-party services (such as PayMongo for payments and cloud and connectivity providers). Your use of those services may be subject to their own terms. DigiMD does not currently display third-party advertising and is not responsible for transactions or dealings between you and any third party.

8. Disclaimer of warranties and assumption of risk

The use of video and Internet technology to deliver healthcare is subject to limitations and may not be equivalent to in-person contact. You acknowledge that your use of the service is at your own risk. DigiMD is provided on an “as is” and “as available” basis, without warranty of any kind, whether express or implied, to the maximum extent permitted by law. You assume the potential risks of telemedicine, including:

  • The information you provide may be insufficient for the doctor to give appropriate advice.
  • Delays, interruptions, or technical failures of electronic systems may occur, and data may be lost or corrupted.
  • Lack of access to your complete medical records may contribute to judgment errors, including adverse drug or allergic reactions.
  • Security measures may, in some instances, fail and result in a breach.
  • The doctor may determine that the service is not appropriate for some or all of your needs and decline to provide care.

Your healthcare professionals are not employees of DigiMD and are solely responsible for the care they provide. DigiMD disclaims liability for the acts or omissions of any healthcare professional and makes no warranty as to the content of any consultation.

9. Limitation of liability

To the maximum extent permitted by law, DigiMD will not be liable for any indirect, incidental, special, consequential, or moral damages, lost profits, or damages from lost data or service interruption arising from your use of or inability to use DigiMD. Where such limitation is held unavailable, DigiMD’s aggregate liability shall not exceed the total fees you paid through DigiMD for the consult giving rise to the claim, or Five Thousand Pesos (₱5,000.00), whichever is lower [REVIEW WITH COUNSEL].

10. Indemnification

You agree to defend, indemnify, and hold harmless DigiMD from any claims, losses, liabilities, damages, costs, and reasonable attorney’s fees arising, directly or indirectly, out of your use or misuse of DigiMD, your breach of this Agreement, your relationship with or any advice provided by any healthcare professional, or any information you provide.

11. Force majeure

DigiMD shall not be liable for any delay or interruption in performance due to any cause beyond its reasonable control, including acts of God, government action, war, civil disturbance, severe weather, or failures of telecommunications or power.

12. Term and termination

We may suspend or terminate your access if you breach this Agreement or as otherwise reasonably necessary. You may stop using DigiMD at any time; withdrawing from the service does not affect your right to future care or to consult a healthcare professional in person. The provisions on indemnification, limitation of liability, and the Privacy Statement survive termination.

13. Notices

Notices to you will be sent to the email address associated with your account. Notices to DigiMD should be sent to [BUSINESS ADDRESS] or to support@digimd.online.

14. No professional relationship with DigiMD; no third-party rights

This Agreement does not create a healthcare professional-patient relationship between you and DigiMD. Except as expressly provided, nothing in this Agreement confers rights on any person other than you and DigiMD.

15. Assignment

You may not assign or transfer this Agreement. DigiMD may assign or transfer this Agreement and its rights and obligations under it.

16. Entire agreement and severability

This Agreement, together with the Privacy Statement, is the entire agreement between you and DigiMD on its subject matter. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be interpreted to the minimum extent necessary to comply with applicable law.

17. Changes to these terms

We may change this Agreement at any time. The most current version will always be available in the app and on our website. If you continue to use DigiMD after changes take effect, you accept the revised Agreement. Please review these terms periodically.

18. Governing law and dispute resolution

This Agreement is governed by and construed in accordance with the laws of the Republic of the Philippines. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the proper courts of [CITY], Philippines [or resolved by arbitration — CONFIRM WITH COUNSEL].
